TITLE OF BILL: An act to amend chapter 292 of the laws of 1904, relating to providing for the appointment of a board of guardians of the endowment fund of the Washington Square Methodist Episcopal Church, with power to take and hold the said fund in trust for the purposes for which said church was incorporated, or any of such purposes, in relation to discharging the board of guardians

PURPOSE OR GENERAL IDEA OF BILL: Discharges the board of guardians of the Washington Square Methodist Episcopal Church and provides for various conditions to be met.

SUMMARY OF SPECIFIC PROVISIONS: Provides legislative intent to the discharging of the board of guardians of the Washington Square Methodist Episcopal Church. A new section 2(b) is added to chapter 292 of the laws of 1904 which provides for the board of guardians to be discharged from their powers and duties and cease to exist after such board transfers the assets held in the endowment fund to the board of trustees of the church and an audit of the endowment fund shall be conducted and submitted to the board of trustees.

JUSTIFICATION: The Washington Square United Methodist Church (WSUMC) has a long and varied history in Greenwich Village. Its history encompassed notable attributes such as allowing equal voting representation to its members (including women and people of color) since its onset, were pioneers in the abolitionist movement, served as the 'jumping off' point for the African Methodist Episcopal (AME) church, provided services to immigrants during the prior turn-of-the-century, provided leadership for the Peace Movement during the Vietnam War era. Appointed its first female minister in 1972, held memorial services for gay men who were murdered in front of the Ramrod Bar around the time of the Stonewall Rebellion and is one of the first Reconciling Methodist churches in the country at which sexual orientation became a non-issue. To this day, it continues to provide progressive leadership in a community whose membership reaches beyond the five boroughs of our great City. This nearly one and one-half century building is in great need of repair. A nearly century old law requiring a guarded endowment has prevented the church from obtaining outside funding since it appears as if they have accessible assets of their own to use for this purpose. In June of 2002, the Board of Guardians for WSUMC resolved to transfer its assets to the administrators of WSUMC - essentially dissolving its authority over the trust. However, such dissolution is also contingent upon the State's abolishment of the Board of Guardians for WSUMC vis-avis New York State's governing laws. That is why this bill is necessary.

EFFECTIVE DATE: This act shall take effect immediately; provided that the secretary of state or his or her appointed designee shall notify the legislative bill drafting commission as to whether or not the office of the secretary of state has timely received the affidavit required to file pursuant to section four of this act in order that the commission may maintain an accurate and timely effective data base of the official text of the laws of the state of New York.

Section 1. Legislative intent. The board of guardians of the endowment fund of the Washington Square Methodist Episcopal Church (the "guardians") was created by chapter 292 of the laws of 1904. The legislature recognizes such act authorized the guardians to take such funds belonging to the Washington Square church as may be paid over EXPLANATION--Matter in italics (underscored) is new; matter in brackets [-1 is old law to be omitted. to them by the board of trustees and to hold those funds "as an endowment fund, in trust ... and to pay over the income thereof to church." The legislature finds the circumstances which led to creation of the guardians no longer exist. The guardians and the board of trustees of the Washington Square United Methodist church desire to transfer the endowment fund to such board of trustees to hold in trust for any church purpose on the terms and conditions contained in this act and thereafter to allow the guardians to cease to exist. The New York annual conference of the United Methodist church has voted to support the transfer of the fund to the board of trustees and thereafter to allow the guardians to cease to exist. § 2. Section 2 of chapter 292 of the laws of 1904, relating to providing for the appointment of a board of guardians of the endowment fund of the Washington Square Methodist Episcopal Church, with power to take and hold the said fund in trust for the purposes for which said church was incorporated, or any of such purposes, as amended by chapter 827 of the laws of 1945, is amended to read as follows: § 2. (a} The said board of guardians and their successors are hereby authorized to take and receive all such moneys, securities and other properties, real, personal or mixed, belonging to the said church as may be transferred or paid over to them by the board of trustees of said church, or by authority of said board of trustees, and to hold the same as an endowment fund, in trust, and to invest and reinvest all or any part - of said endowment fund in such manner and in such securities and other property, real, personal or mixed, as said board of guardians in their sole discretion deem advisable without being limited in such investments to that property or those securities which would otherwise alone be lawful for trustees' investments under any laws applicable thereto, and to pay over the income therefrom to the board of trustees of the Washington Square Methodist Episcopal Church, to be used for the purposes for which said church was incorporated, or for any of said purposes. The said board of guardians and the said board of trustees of said church may make such agreement or agreements as to the administration of said endowment fund and the powers, privileges, duties and obligations of said board of guardians as trustees thereof as said board of guardians and said board of trustees shall determine to be advantageous for the proper administration of said endowment fund by said board of guardians. (b} Such board of guardians and their successors are hereby discharqed from the powers and duties authorized by this act. Such board shall cease to exist after such board transfers the assets held in the endowment fund pursuant to this section to the board of trustees of such church. The board of trustees shall hold the endowment fund for the benefit of the Washington Square United Methodist church. § 3. An audit of the endowment fund shall be conducted and submitted to the board of trustees of the Washington Square Methodist Episcopal church. Upon acceptance of the audit by the board of trustees and payment of any and all outstanding administrative expenses of the board of guardians, inclUding the cost of such audit, the guardians shall transfer the assets held in the endowment to the trustees. Upon transfer, the board of guardians shall be dissolved. § 4. Chapter 292 of the laws of 1904 shall be deemed repealed upon filing of an affidavit signed by the board of guardians and the board of trustees stating that the terms and conditions imposed by this act have been accomplished. A copy of the affidavit shall be filed with the secretary of state.

§ 5. This act shall take effect immediately; provided that the secretary of state or his or her appointed designee shall notify the legislative bill drafting commission as to whether or not the office of the secretary of state has timely received the affidavit required to be filed pursuant to section four of this act in order that the commission may maintain an accurate and timely effective data base of the official text of the laws of the state of New York in furtherance of effecting the provisions of section 44 of the legislative law and section 70-b of the public officers law.
