Purchase Order Terms & Conditions 1.

All correspondence, relating to payment and all invoices shall be rendered directly to the accounts payable section, Department of Finance, unless specified otherwise.

2.

All invoices, shipping papers and inquiries must show the purchase order and requisition number.

3.

Separate invoices must be rendered for each order.

4.

Payments will be made from original invoices only. Statements are unacceptable. Invoices for partial deliveries must be so indicated.

5.

Except for blanket purchases and special circumstance situations having prior approval of the Central Purchasing Agent, payment shall be made only on complete purchase orders.

6.

Unless a time extension approved by the Central Purchasing Agent is obtained, THIS PURCHASE ORDER SHALL BECOME VOID 360 DAYS AFTER P.O. DATE.

7.

We reserve the right to cancel this order and reject goods if not delivered when required and in accordance with the specifications of this purchase order. Rejected materials will be returned at vendor’s expense and risk.

8.

Acceptance of the order includes acceptance of all terms, prices, delivery instructions and conditions stated.

9.

The conditions of this order are to be modified only by written agreement.

10.

Except for estimated amounts, goods must not be billed at a price higher than what is stated on this purchase order.

11.

The County of Maui is not exempt from Hawaii Gross Excise Tax (sometimes also called sales tax). This tax is to be shown as a separate line item on the invoice claim for payment.

12.

Performance of services and/or delivery of goods as specified herein constitutes acceptance of this purchase order and by said acceptance, vendor agrees to defend, indemnify and hold harmless the County of Maui, its departments, agencies, officers, servants, agents, employees, and anyone under its direction and control, from any loss, liability, damage or costs, including court costs and attorney’s fees, that may incur during or due to performance of services or delivery of goods herein.

13.

The Contractor shall perform this Contract as an independent contractor and shall not be entitled to any benefits and privileges of an employee of the County of Maui for purposes including, but not limited to, the County's Civil Service System, fringe benefits, unemployment benefits, worker's compensation benefits, federal and state taxes, social security tax, medicare tax, FICA tax and any other employment taxes.
